Terms of Service

Plain version: use PagePenny for legitimate business documents, check what it makes before you send it, pay for what you use, and settle disagreements individually through arbitration. The full terms below are what counts.

1. The agreement

These Terms are a binding contract between you and Flyte Technologies Inc. ("PagePenny", "we", "us"), a Delaware corporation. They cover the PagePenny website, API, MCP server, free tools and any related service (the "Service").

You accept these Terms by ticking the box at sign-up, by creating an API key, or by using the Service in any way, including paying per request with cryptocurrency without an account. If you use the Service for a company, you confirm you can bind that company, and "you" means the company.

The Service is for businesses and developers, not personal or household use. You must be at least 18 and legally able to enter contracts.

2. Accounts and API keys

You are responsible for everything done with your account and keys, including charges, whether or not you authorized it. Keep keys secret and revoke any that leak. We are not liable for loss caused by a key you exposed.

One account per person or company. Creating extra accounts to get more free renders is not allowed.

3. Acceptable use

You will not use the Service to create, store or send anything that:

  • is illegal, or helps anyone break the law;
  • is a forged, counterfeit or deceptive document, such as fake invoices, receipts, certificates, IDs, or records presented as genuine to deceive anyone;
  • is phishing, fraud, spam or impersonation of a real person or organization;
  • sexually exploits minors, or is non-consensual intimate content;
  • infringes anyone's copyright, trademark, privacy or other rights;
  • contains malware or tries to attack, probe or overload our systems or anyone else's.

You will not get around rate limits, quotas or payment, resell free-tier access, scrape or copy the Service to build a competing product, or reverse engineer it except where the law allows.

We may refuse, delete or block any content or request, and suspend or close any account, at any time if we believe these rules are broken or the Service is at risk. We do not have to warn you first, and we may report illegal activity to the authorities.

4. Your content and generated files

You keep ownership of the templates, data and files you send or generate ("Your Content"). You give us a limited license to host, copy, process and transmit Your Content only to run the Service for you.

You promise you have every right needed to use Your Content, and that it does not break these Terms or any law. We do not review Your Content and are not responsible for it.

You are responsible for checking every generated file before you use it. We do not check whether amounts, taxes, totals, dates, names or any other content are correct, complete or legally sufficient. Generated documents are not legal, tax or accounting advice.

Rendered files are deleted 7 days after they are made, and request data is not kept after a render finishes. Keep your own copies. We are not liable for any file or data that is lost or deleted.

5. Plans, payment and credits

Free plan. Includes a monthly number of renders shown on the pricing page. We can change or end the free plan and the free tools at any time.

Subscription. Billed monthly in advance for the base fee, plus usage above the included renders, billed in arrears, through our payment processor Stripe. It renews automatically each month until you cancel. You can cancel any time in the billing portal; your plan runs to the end of the paid month and no partial refunds are given. You set a monthly spend cap and are not charged above it.

Credit packs. Prepaid renders bought in advance. Credits are not money, have no cash value, cannot be transferred, and are not refundable except where the law requires. Unused credits stay available while your account is in good standing; they are lost if the account is closed for breaking these Terms.

Cryptocurrency. Payments in USDC or other digital assets, including per-request payments with the x402 protocol, are final once confirmed on-chain and cannot be reversed or refunded. You are responsible for sending the right amount on the right network to the right address. We are not responsible for network fees, delays, lost funds, wallet errors, or changes in the value of any digital asset.

General. Prices are in US dollars and do not include taxes, which you pay. We may change prices with at least 14 days' notice by email or on the site; changes apply from your next billing period. If a payment fails we may suspend the Service or move you to the free plan. Renders that fail because of a problem on our side are not charged. Everything else that is processed counts as used. Except as stated here or required by law, all fees are non-refundable.

If you dispute a charge with your bank instead of contacting us first, we may suspend your account until it is resolved.

6. Changes and availability

We may change, add or remove features, templates, limits or any part of the Service, or stop offering it, at any time. We do not promise any level of uptime, speed or support, and we may suspend the Service for maintenance or security without notice. If we stop offering a paid plan entirely, we will refund unused prepaid credits.

7. Suspension and termination

You can stop using the Service and close your account at any time. We can suspend or terminate your access at any time, for any reason or no reason, including for breaking these Terms. Sections that by their nature should continue (fees owed, your content promises, disclaimers, liability limits, indemnity, disputes) survive termination.

8. No warranties

The Service and everything it produces are provided "as is" and "as available", with all faults and without warranties of any kind, express, implied or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation. You use the Service and any generated file at your own risk.

9. Limit of liability

To the fullest extent the law allows, PagePenny, Flyte Technologies Inc. and its owners, officers, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business, however caused and even if told they were possible.

Our total liability for all claims of any kind relating to the Service is limited to the greater of (a) the amount you paid us in the 3 months before the event giving rise to the claim, or (b) US$50.

These limits apply even if a remedy fails of its essential purpose, and they are an essential part of our prices.

10. Your responsibility to us

You will defend, indemnify and hold harmless Flyte Technologies Inc. and its owners, officers, employees and contractors from any claim, loss, liability, fine, cost or expense (including reasonable legal fees) arising from Your Content, your use of the Service or generated files, your breach of these Terms, or your violation of any law or anyone's rights.

11. Disputes, arbitration and class waiver

Talk to us first. Before starting any claim, email team@flyteai.io with a description and give us 30 days to try to resolve it.

Binding arbitration. Any dispute relating to these Terms or the Service will be resolved by final, binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, conducted remotely or in Chicago, Illinois. Judgment may be entered in any court with jurisdiction. Either side may instead bring an individual claim in small claims court, and either side may ask a court for an injunction to protect intellectual property or stop misuse of the Service.

Class action and jury waiver. Claims may only be brought individually, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. You and we each waive any right to a jury trial.

Opting out. You can opt out of arbitration within 30 days of first accepting these Terms by emailing team@flyteai.io with your account email and the words "arbitration opt-out".

Time limit. Any claim must be started within one year after it arises, or it is permanently barred.

Law. These Terms are governed by the laws of the State of Delaware and the Federal Arbitration Act, without regard to conflict-of-law rules. Any court action allowed under these Terms must be brought in the state or federal courts located in Delaware, and both sides consent to their jurisdiction.

12. General

Changes to these Terms. We may update these Terms. We will post the new version with a new effective date and, for material changes, email account holders. Using the Service after the effective date means you accept the update.

These Terms and our Privacy Policy are the entire agreement between us about the Service. If any part is found unenforceable, it is changed only as much as needed and the rest stays in force. Our not enforcing a right is not a waiver. You may not assign these Terms; we may assign them, including in a merger or sale. We are not liable for delays or failures caused by events outside our reasonable control. You will comply with US export and sanctions laws. Notices to us go to team@flyteai.io; notices to you go to your account email.
